Welcome to digiflippers.com. These Terms of Service (“Terms”) are an agreement between you and digiflippers.com (“we”, “us”), which runs the digiflippers.com marketplace at https://digiflippers.com/. By creating an account or using the marketplace you agree to these Terms, to our Privacy Policy and to the policies linked below, which form part of these Terms. If you do not agree, please do not use digiflippers.com.
1. What digiflippers.com is
digiflippers.com is an online marketplace where people buy and sell online businesses and digital assets — for example websites, domains, apps, SaaS products, online stores, newsletters, YouTube channels and social media accounts.
- We are a venue, not a party to your sale. The contract for an asset is made directly between the buyer and the seller. We do not own, inspect or guarantee the assets listed, and we are not an agent, broker or trustee of either side (except for what our optional middleman service does, described in our Payments, Escrow & Middleman policy).
- Success fee. Deals up to $10,000 pay no success fee. Deals above $10,000 pay a 5% success fee on the sale price, paid by the seller. The fee is never more than $5,000 per deal. The listing fee the seller paid for that listing is taken off the success fee. With escrow it is deducted in the escrow transaction; otherwise an invoice follows when the deal completes. The fee is shown in the deal terms before anyone agrees. Our income comes from the fees described in our Fees & Refund Policy.
- We never hold buyers’ money. The price of an asset is paid directly to the seller, through a licensed escrow company, or under the supervision of our middleman service — never into an account of ours.
2. Your account
- You must be at least 18 years old and able to make a binding contract. If you use digiflippers.com for a business, you confirm that you may bind that business to these Terms.
- Give true, current details and keep them up to date. One person or business may have one account, unless we agree otherwise in writing.
- Keep your password secret and tell us at once at support@digiflippers.com if you think someone else has used your account. You are responsible for what happens under your account.
- We may ask you to confirm your email, phone number or identity before you can sell, make offers, bid or use some features. Identity checks are done by our provider (Stripe Identity); we never store copies of your ID documents ourselves.
3. Listing an asset
When you list an asset you promise that:
- you own the asset or have every right needed to sell and transfer it, and it is free of claims you have not disclosed;
- everything in your listing — income, traffic, audience, costs, history, screenshots and proof — is true, complete and not misleading, and you will correct it at once if anything changes;
- selling and transferring the asset does not break the law or the rules of any platform it depends on (for example a social network, app store or advertising programme), or you have clearly disclosed the risk; and
- the listing follows our Acceptable Use & Prohibited Listings policy.
We may review listings before or after they are published, ask for proof, and edit the category or presentation. We may refuse, pause or remove any listing that breaks these Terms or that we reasonably believe puts buyers at risk. Listings run for the period shown when you list and can be renewed.
4. Offers, auctions and buying
- Offers and accepted prices are binding. An offer stays open for 72 hours unless it is accepted, declined or withdrawn earlier. When the seller accepts an offer (or a buyer buys at the asking price), both sides are committed to complete the deal in good faith in the Deal Room.
- A bid in an auction is a commitment to buy at that price if you win. Do not bid on your own listings or ask others to do so.
- Buyers are responsible for their own due diligence. Check the asset, the proof and the seller before you pay. Our verification, badges, statistics, valuations and AI summaries help, but they are not guarantees.
5. Deals, payment and transfer
Every agreed sale gets a private Deal Room where buyer and seller agree the final terms, record the payment, transfer the asset step by step and confirm the result. The Deal Room keeps a timeline of everything that happens, which is the record we rely on if there is a dispute. The usual timings are: agree the terms within 2 days, pay within 3 days, transfer within 7 days, and check the asset within 2 days.
Buyers pay directly to the seller, through escrow. Direct payments are not protected by us. Please read our Payments, Escrow & Middleman policy before you pay, and never pay to details sent outside the Deal Room.
6. Fees
Listing fees, paid upgrades, seller plans and the middleman service fee are described, with the refund rules, in our Fees & Refund Policy. Prices are shown before you pay; taxes may be added where the law requires. Payments to us are processed by Stripe.
7. Verification, badges and reviews
We may show badges and trust levels for members and verified numbers for listings (for example when a seller proves ownership with a DNS record or file, or connects a read-only analytics or payment account). They show that a specific check was passed at a specific time — nothing more. After a deal, buyer and seller may review each other. Reviews must be honest and about the deal; we may remove reviews that break our rules.
8. Your content
You keep ownership of what you post (listings, messages, images, files). You give us a worldwide, non-exclusive, royalty-free licence to host, show, copy and adapt it as needed to run and promote the marketplace — for example showing your listing in search results, emails and social posts. This licence ends when the content is removed, except for copies we must keep for legal reasons or that are part of a deal record. Do not post content you have no right to share.
9. Things you must not do
Our Acceptable Use & Prohibited Listings policy lists what is not allowed. In short: no fraud, no misleading listings or fake proof, no stolen or illegal assets, no taking deals off the platform to avoid our processes, no harassment, no spam, no scraping and no attempts to break or overload the marketplace.
10. AI features
Some features use artificial intelligence, such as our Digi AI assistant, listing writing help, summaries and value estimates. AI can be wrong. Its output is general information, not professional, financial, legal or tax advice. See our AI Features Notice.
11. Suspension and closing your account
You may close your account at any time by contacting us, once your open deals are finished. We may limit, suspend or close an account, remove listings or reviews, or cancel a deal record if we reasonably believe you broke these Terms, the law or put other members at risk. Where it is safe and lawful we will tell you why and give you a chance to respond. Sections that by their nature should continue (for example content licences for deal records, liability and law) survive the end of this agreement.
12. Disclaimers
The marketplace is provided “as is” and “as available”. We work hard to keep it safe and running, but we do not promise that it will always be available or error-free, that any listing is accurate, that a buyer or seller will perform, or that an asset will earn what it earned before. Past income and traffic do not guarantee future results.
13. Our liability
Nothing in these Terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence. Otherwise, to the extent the law allows: we are not liable for losses caused by other members, by an asset or its transfer, by third-party services (such as escrow companies, payment providers or the platforms an asset depends on), or for indirect or consequential losses, lost profits, revenue, data or goodwill; and our total liability to you for all claims is limited to the fees you paid us in the 12 months before the claim arose.
If you are a consumer, you also have the rights the law of your country gives you, and nothing in these Terms takes them away.
14. Indemnity
If you use digiflippers.com for a business, you agree to cover our reasonable losses and costs (including legal fees) arising from claims by others caused by your listings, your deals or your breach of these Terms.
15. Changes to these Terms
We may update these Terms, for example when we add features or the law changes. The date at the top shows the latest version and the list at the end shows what changed. For important changes we tell members in advance on the site or by email, and may ask you to accept the new version before continuing. Deals already agreed continue under the Terms that applied when they were agreed.
16. Law and disputes
These Terms are governed by the laws of the country where the marketplace operator is established. Disputes with us will be decided by the courts of that country, unless the law of your country gives you the right to go to your local courts. Please contact us first — most problems are solved quickly. Disputes between buyers and sellers about a deal follow our Dispute Resolution Policy.
17. General
If part of these Terms cannot be enforced, the rest stays in force. If we do not enforce a right at once, we have not given it up. You may not transfer your rights under these Terms without our consent; we may transfer ours to a company that takes over the marketplace. These Terms and the policies they link to are the whole agreement between you and us about the marketplace.
